Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Holdfully ("Holdfully", "we", "us", "our") governing your use of the Holdfully iOS app and related services (the "Service"). Please read them carefully.

1. Acceptance of these Terms

By downloading, accessing, or using Holdfully, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old (or the age of majority where you live) to create an account.

2. The Service

Holdfully helps families coordinate care for an aging or dependent loved one by sharing a "care circle" in which members manage medication schedules and reminders, appointments, tasks, daily check-ins, an emergency card, and related information. The Service is a coordination and organization tool only.

3. Your account and your circle

You are responsible for the accuracy of the information you enter and for maintaining the confidentiality of your sign-in credentials.
You are responsible for activity that occurs under your account.
When you invite people into a circle, you confirm you have the authority to share the relevant information with them and that they consent to participating.
You must have the right or authority to enter health-related or personal information about the person being cared for, and to share it with the circle members you invite.

4. License

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download and use the Holdfully app on Apple devices you own or control, for your own non-commercial family-coordination use. We retain all rights, title, and interest in the Service, including all intellectual property. You retain ownership of the content you submit, and you grant us a license to host, store, and process that content solely to operate the Service for you and your circle.

5. Subscriptions, auto-renewal, and Apple billing

Holdfully offers an optional paid "Pro" subscription. Subscriptions follow an owner-pays model: the circle owner who subscribes unlocks Pro features for that circle.

Purchases are processed through your Apple App Store account and are managed with the help of RevenueCat. We do not receive or store your payment card details.
Subscriptions automatically renew at the then-current price unless you cancel at least 24 hours before the end of the current period. Your Apple ID is charged for renewal within 24 hours before the period ends.
Any free trial period (where offered) converts to a paid subscription unless you cancel before the trial ends; unused trial time is forfeited if you purchase a subscription.
You can manage or cancel a subscription, and turn off auto-renewal, in your Apple ID Settings > Subscriptions. Deleting the app does not cancel a subscription.
Refunds are handled by Apple in accordance with the App Store Terms; we generally cannot issue refunds directly.

Prices and features may change; we will give notice of material changes as required, and price changes apply to renewals after the change takes effect.

6. Acceptable use

You agree not to:

Use the Service for any unlawful, harmful, or fraudulent purpose;
Upload content you do not have the right to share, or that infringes others' rights or privacy;
Attempt to access another person's circle or account without authorization;
Reverse-engineer, scrape, disrupt, or attempt to bypass security or rate limits;
Resell, sublicense, or commercially exploit the Service.

We may suspend or terminate accounts that violate these Terms or applicable law.

7. No medical advice

Holdfully is a coordination tool, not a medical device, and it does not provide medical advice, diagnosis, or treatment. Reminders, schedules, and other features are provided for organizational convenience only and may be delayed or missed for reasons outside our control (for example, device, network, or notification settings). Do not rely on Holdfully as a substitute for professional medical judgment. Always consult qualified healthcare professionals, and call your local emergency number directly in an emergency. The emergency card feature only initiates a phone call to the standard emergency number for your region setting; it does not contact emergency services on your behalf or share your location.

8. Third-party services

The Service relies on third parties including Google Firebase (backend and push notifications), RevenueCat (subscription management), and Apple (sign-in and in-app purchases). Your use of those services is also subject to their respective terms. We are not responsible for third-party services we do not control.

9. Availability and changes

We may modify, suspend, or discontinue any part of the Service at any time. We aim for reliable uptime but do not guarantee the Service will be uninterrupted, timely, or error-free. We may update these Terms from time to time; the "Effective date" above reflects the latest version, and continued use after changes constitutes acceptance.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you, and you may have additional rights under your local consumer law (including the Australian Consumer Law and the New Zealand Consumer Guarantees Act) that these Terms do not exclude.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOLDFULLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, MISSED REMINDER, OR LOSS ARISING FROM RELIANCE ON THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR USD $50. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnity

You agree to indemnify and hold Holdfully harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, your content, or your violation of these Terms or of any third party's rights.

13. Termination

You may stop using the Service and delete your account at any time by emailing support@holdfully.app. We may suspend or terminate your access if you breach these Terms. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnity) will survive.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there, except where applicable local consumer-protection law gives you the right to bring proceedings in your home jurisdiction. This choice of law does not deprive you of mandatory consumer protections available to you in Canada, Australia, or New Zealand.

15. Legal compliance and export

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, that you are not listed on any U.S. Government list of prohibited or restricted parties, and that you will use the Service only in compliance with applicable U.S. and local laws.

16. Apple-required terms

These Terms are between you and Holdfully only, not with Apple, and Holdfully (not Apple) is solely responsible for the Service and its content. Apple has no obligation to provide maintenance or support for the Service. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Apple is not responsible for addressing any claims relating to the app, including product-liability claims, any claim that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer-protection or similar legislation. Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the app or your use of it infringes that third party's intellectual-property rights. You must comply with applicable third-party terms when using the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
